1. The service
We provide a messaging platform ("Service") that connects a business's
WhatsApp Business account to our systems through Meta's WhatsApp Business
Platform (Cloud API). The Service may include message receiving and
archiving, message sending, enquiry organisation, reminders and related
automation, as configured for the business.
The Service is built on Meta's platform. WhatsApp, the WhatsApp Business
Platform and related marks belong to Meta; we are an independent operator
and are not endorsed by Meta.
2. Accounts and eligibility
A business using the Service ("Business") must hold, or authorise us to
help it create, a Meta business portfolio, a WhatsApp Business Account and
a registered phone number, and must complete any verification Meta
requires.
The Business remains the owner of its WhatsApp Business Account, phone
number and customer relationships. Our access is limited to the
permissions the Business grants through Meta's Embedded Signup / Business
Settings, and the Business may revoke that access at any time, including by
disconnecting the platform in the WhatsApp Business app (Settings →
Account → Business Platform).
The Business is responsible for keeping its Meta accounts secure and for
the accuracy of the business information it provides.
3. Acceptable use
The Business agrees to:
comply with the WhatsApp Business Messaging Policy, WhatsApp Commerce
Policy, Meta's platform terms, and applicable law (including Singapore's
PDPA and do-not-call / spam rules);
only message individuals who have given the required opt-in consent, and
honour opt-outs promptly;
only send business-initiated messages using Meta-approved templates, and
free-form messages within the 24-hour customer-service window;
not use the Service for spam, deception, unlawful content, or a
general-purpose consumer chatbot service;
maintain the quality of its sending (poor quality ratings or policy
violations may cause Meta to restrict or ban the number, for which we are
not responsible).
We may suspend a Business's use of the Service where continued use would
breach Meta policy or law, or endanger the platform or other businesses on
it.
4. Messages and data
As between the Business and us, the Business owns its customer data. We
process it only to provide the Service, as described in our Privacy
Policy.
On disconnection or termination, the Business may request an export of its
archived message data and/or its deletion, per the Privacy Policy.
Meta's delivery of messages is not guaranteed; the Service depends on
Meta's platform availability, and message delivery/read statuses are as
reported by Meta.
5. Fees
Meta charges per delivered message by category and destination country
under its published WhatsApp Business Platform pricing. Unless otherwise
agreed in writing, Meta's charges for a Business's number are the
Business's own, billed by Meta to the Business (or, where a reseller model
is agreed, passed through at cost).
Any platform/subscription fees for the Service will be as agreed with the
Business in writing before they are incurred. No fees are charged to
individuals who message a Business.
6. Availability and changes
We provide the Service on an "as is" and "as available" basis. We may modify
or discontinue features with reasonable notice where practicable. We are not
liable for outages or changes in Meta's platform, policies or pricing.
7. Liability
To the maximum extent permitted by law: our aggregate liability arising from
the Service is limited to the platform fees paid by the Business in the
three months before the claim; we are not liable for indirect or
consequential loss, loss of profits, or loss arising from Meta's acts,
number restrictions or bans, or a Business's own content or recipient lists.
8. Termination
Either party may terminate on written notice. On termination we will revoke
our API access for the Business's account, and Sections 4–7 survive as they
naturally should.
9. Governing law
These terms are governed by the laws of Singapore. Disputes will be subject
to the exclusive jurisdiction of the Singapore courts.
